1. Purpose of this Agreement
The Entertainment Provider will present, operate and manage an entertainment or activity offering (the "Activity") at Market on the Mile, held at the Suncoast Casino Precinct, Durban, on the dates and in the time slots recorded in the Schedule above.
Market on the Mile will provide the platform, the audience, the allocated space and the marketing described in this Agreement.
2. Revenue Share
All revenue generated by the Activity during the Event, from every source including ticket sales, entry fees, wristbands, tokens, per-activity payments, add-ons and any related sales made at the Activity, will be shared 85% to the Entertainment Provider and 15% to Market on the Mile.
The revenue share is calculated on gross revenue received from the Activity, before the Entertainment Provider's own costs and expenses. The Entertainment Provider is responsible for its own costs, including staff, equipment, insurance, travel and consumables.
3. Collection and Record Keeping
The Entertainment Provider will record every sale made at the Activity in a daily sales sheet, which is to be signed off by a Market on the Mile representative at the end of each trading day.
Where payments are collected by the Entertainment Provider, the Entertainment Provider will hold Market on the Mile's 15% share in trust and pay it over as set out in clause 4. Where payments are collected by Market on the Mile, Market on the Mile will pay the Entertainment Provider's 85% share as set out in clause 4.
4. Settlement
A final reconciliation of all revenue will be completed within 7 (seven) days after the last day of the Event, based on the signed daily sales sheets.
The party holding funds will pay the other party's share into the bank account nominated in writing by that party within 7 (seven) days of the reconciliation being agreed.
5. Space, Power and Set-up
Market on the Mile will allocate the space and, where confirmed in the Schedule, the power for the Activity. The Entertainment Provider must keep within the allocated space and the confirmed power requirements.
The Entertainment Provider will set up before the market opens each day and pack down only after the market closes, unless agreed otherwise in writing.
6. Safety, Insurance and Compliance
The Entertainment Provider is responsible for the safe operation of the Activity and for the supervision of all participants, particularly children.
The Entertainment Provider confirms that all equipment is safe and in good working order, that all staff are suitably experienced and vetted for working with children where applicable, and that the Entertainment Provider holds current public liability insurance. Proof of insurance must be supplied to Market on the Mile before the Event.
The Entertainment Provider will comply with all applicable laws, venue rules, and reasonable instructions from Market on the Mile and the Suncoast Casino Precinct.
7. Marketing and Brand Use
Market on the Mile may use the Entertainment Provider's name, logo, photographs and video of the Activity to promote the Event. The Entertainment Provider may promote its participation in Market on the Mile, using the Market on the Mile name and logo only in a manner approved by Market on the Mile.
8. Cancellation
If the Entertainment Provider withdraws after signing, the Entertainment Provider must give Market on the Mile written notice as early as possible so that the programme can be adjusted.
If the Event or any session is cancelled or shortened due to weather, safety, venue or other circumstances outside the control of Market on the Mile, neither party will be liable to the other for loss of revenue, and revenue already earned will still be shared as set out in clause 2.
9. Liability and Indemnity
The Entertainment Provider indemnifies Market on the Mile, its organisers and the venue against any claim, loss, damage or injury arising from the Entertainment Provider's Activity, staff, equipment or participants, except where caused by the negligence of Market on the Mile.
10. General
The Entertainment Provider is an independent contractor and nothing in this Agreement creates an employment, partnership or agency relationship.
This Agreement is the entire agreement between the parties on this subject. Any change must be in writing and signed by both parties. This Agreement is governed by the laws of the Republic of South Africa.
11. Refunds and Chargebacks
If any payment is refunded to a customer or reversed (including a chargeback) after the relevant share has been settled, the party that received the other party's share will repay the corresponding amount on demand, so that each party bears its own share of the refund or reversal.
12. Data, Photos and Children
The Entertainment Provider may only collect personal information (including participant details and photographs) that is necessary for the Activity, and must use and store it lawfully and only for the purposes of running the Activity.
Where the Activity involves children, the Entertainment Provider must obtain the consent of a parent or guardian for participation and for any photographs or video, and must not use images of children for marketing without separate written consent. Market on the Mile may use photographs and video of the Activity to promote the Event, but will not publish identifiable images of a child where the Entertainment Provider has flagged that consent was not given.
13. Own Liability Cover
Titan Team Building & Entertainment confirms that it carries its own public liability insurance cover, to at least the minimum amount recorded in the Schedule above and suitable for the Activity and the venue, and that this cover will remain in place for the full duration of the Event.
Titan Team Building & Entertainment is solely responsible for any claim, loss, damage or injury arising from its Activity, staff, equipment or participants, and accepts full liability for the same, indemnifying Market on the Mile, its organisers and the venue accordingly. A copy of the current public liability insurance certificate will be supplied to Market on the Mile by the insurance proof date recorded in the Schedule.
